Item 8.01.

Other Events.

On April 29, 2021, BurgerFi International, Inc. (the “Company”) received a letter from The Nasdaq Stock Market (“Nasdaq”) indicating that the Company has regained compliance with its continued listing requirements as a result of filing the Company’s Annual Report on Form 10-K for the year ended December 31, 2020. On April 29, 2021, the Company issued a press release reporting it regained full compliance with Nasdaq. A copy of the press release is filed as Exhibit 99.1 to this report and incorporated herein by reference.
